# Terms of Service for Sopfast.com
(For Dropshipping, Sourcing, and Fulfillment Services)

## 1. Acceptance of Terms
By accessing or using Sopfast.com (“the Website”) and its services, including but not limited to dropshipping, product sourcing, print on demand, custom packaging, bulk purchasing, ODM manufacturing, and 3PL fulfillment (“the Services”), you (“User” or “You”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must cease using the Website and Services immediately.

## 2. Description of Services
Sopfast provides the following core Services to support your dropshipping and e-commerce operations:
– **Sourcing**: One-stop product sourcing with quote comparison.
– **Print on Demand**: Custom-printed merchandise production.
– **Custom Packaging**: Branded packaging solutions.
– **Bulk Purchase**: Wholesale pricing and global delivery for bulk orders.
– **ODM Power**: Collaboration with manufacturers to create custom products.
– **3PL Fulfillment**: Order processing and global shipping for products stored with Sopfast.

Sopfast reserves the right to modify, suspend, or discontinue any Service (in whole or part) at its discretion, with or without notice.

## 3. User Obligations
3.1 You warrant that you are at least 18 years old (or the legal age of majority in your jurisdiction) and have the authority to enter into binding agreements under UK law.
3.2 You agree to use the Services only for lawful purposes, complying with all applicable UK laws, regulations, and third-party rights (including but not limited to intellectual property, consumer protection, and import/export laws).
3.3 You shall not:
– Provide false or misleading information when using the Services (e.g., in product listings, order details, or business credentials).
– Infringe on third-party intellectual property rights (e.g., selling counterfeit goods or using unauthorized trademarks).
– Use the Services to sell prohibited items (e.g., illegal goods, hazardous materials, or items restricted by UK or international law).
– Interfere with Sopfast’s systems, including automated scraping, hacking, or disrupting Service operations.
– Misrepresent your relationship with Sopfast (e.g., claiming official affiliation without authorization).
3.4 You are responsible for maintaining the security of your account and all activities conducted under it. Notify Sopfast immediately of any unauthorized account use.

## 4. Orders, Fulfillment, and Shipping
4.1 **Order Placement**: When you submit an order via the Services, you confirm that all details (e.g., product specifications, quantities, shipping addresses) are accurate. Sopfast reserves the right to reject orders that violate these Terms or are incomplete.
4.2 **Fulfillment**: For 3PL and dropshipping Services, Sopfast will process orders based on available inventory and your instructions. Fulfillment timelines are estimates and may be delayed due to factors beyond our control (e.g., supply chain issues, customs delays).
4.3 **Shipping**: Global shipping is subject to carrier terms, customs regulations, and import duties (which you or your customers are responsible for paying). Sopfast is not liable for delays or losses caused by shipping carriers.

## 5. Intellectual Property
5.1 **Sopfast’s IP**: All content on the Website (e.g., logos, software, product images, service descriptions) is owned by Sopfast or its licensors and protected by UK copyright, trademark, and other intellectual property laws. You may not reproduce, modify, or distribute this content without prior written consent.
5.2 **User’s IP**: You retain ownership of your brand assets (e.g., logos, custom designs for print on demand or packaging) but grant Sopfast a limited license to use these assets solely to fulfill your orders.

## 6. Fees and Payment
6.1 You agree to pay all fees associated with the Services (e.g., sourcing fees, production costs, shipping charges) as displayed on the Website or confirmed in your order.
6.2 Payments must be made via approved methods (e.g., credit card, bank transfer). Unpaid fees may result in service suspension or order cancellation.
6.3 Sopfast reserves the right to adjust fees with prior notice, except for confirmed orders.

## 7. Limitation of Liability
7.1 To the maximum extent permitted by UK law, Sopfast shall not be liable for:
– Indirect, incidental, or consequential losses (e.g., lost profits, business interruption).
– Losses arising from third-party actions (e.g., shipping carrier errors, supplier delays).
– Damages caused by your breach of these Terms (e.g., selling prohibited items).
7.2 Sopfast’s total liability for direct damages related to the Services shall not exceed the total fees you paid for the specific Service in the 12 months preceding the claim.

## 8. Termination
8.1 You may terminate these Terms by discontinuing use of the Services and closing your account (if applicable).
8.2 Sopfast may suspend or terminate your access to the Services immediately if:
– You breach these Terms (e.g., selling illegal goods, non-payment of fees).
– Your use of the Services poses a risk to Sopfast, other users, or third parties.
8.3 Upon termination, you must settle all outstanding fees, and Sopfast may cease fulfillment of pending orders (with a refund of pre-paid fees where applicable).

## 9. Privacy
Your use of the Services is governed by Sopfast’s Privacy Policy, which is incorporated into these Terms. By using the Services, you consent to the collection and use of your data as described in the Privacy Policy.

## 10. Governing Law and Disputes
These Terms of Service and any separate agreements whereby we provide you shall be governed by and construed in accordance with the laws of UK.

Any dispute arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of the UK, and you agree to submit to the jurisdiction of such courts.

## 11. Modifications to Terms

## 12. General Provisions

12.3 Sopfast’s failure to enforce any provision does not waive its right to do so later.
